Review the confidentiality agreement
The role-specific learner terms are in section 4. This is a draft for legal review. Registration and electronic signing are not active yet; reading this page does not create a profile or sign an agreement.
# Aim High Hero Academy and Talent Platform — Confidentiality Agreement
**Draft version:** 2026-09-29-v1 · **Status:** Counsel review required before signature collection or enforcement.
**Platform operator:** Aim High Hero (insert the complete contracting legal entity name and notice address before release).
**Signer:** The individual identified by the verified account and electronic signature record. An employer representative signs for their organization only if authorized; the organization must be identified in the record.
## 1. Purpose and scope
Aim High Hero (AHH) may share nonpublic training materials, account information, business methods, instructor resources, assessments, candidate information, and other confidential information so the signer can learn, teach, evaluate, or recruit through the Platform. The signer agrees to use such information only for their authorized Platform role and to protect it under this Agreement. Access is conditional on accepting the **current version for each role**. This agreement does not itself grant access to a course, candidate data, instructor tools, or live events.
## 2. Confidential information
“Confidential Information” means information that AHH or another Platform participant makes available in a nonpublic context and identifies as confidential, or that a reasonable person would understand to be confidential given its nature and circumstances. Examples include unpublished lessons and answer keys; instructor guides and assessment rubrics; platform architecture and nonpublic business plans; nonpublic pricing or proposals; credentials and security procedures; private profiles, resumes, videos, application materials, interview feedback, and employer submissions. Personal information remains subject to the Platform privacy notice and applicable law in addition to this Agreement.
Confidential Information excludes information the recipient can demonstrate was already lawfully known without a confidentiality duty, became public without breach, was lawfully received from a third party free of a duty, or was independently developed without using protected information. A person’s own career history, ordinary skills, and knowledge retained through learning are not AHH Confidential Information merely because that person participated in the Platform.
## 3. Recipient commitments
The signer will (a) use Confidential Information only to perform the authorized role; (b) share it only with people specifically authorized for the same purpose and bound by appropriate confidentiality duties; (c) protect it with reasonable safeguards and promptly notify AHH through its published support or security contact if access, loss, or disclosure is suspected; (d) refrain from publishing, scraping, recording, exporting, selling, or training a third-party AI system on nonpublic Platform content or participant information without written permission; and (e) return or securely delete accessible copies when access ends, except copies required by law or retained in routine secure backups. This section does not prohibit ordinary notes for personal study that do not contain another person’s private information or restricted assessment answers.
AHH will also protect nonpublic information entrusted to it under its published privacy commitments and agreements. This is a mutual protection commitment for material either party properly provides to the other; it is not a promise that a candidate’s information may be shared without their separate consent.
## 4. Role-specific terms
**Learner.** Do not distribute paid or nonpublic lesson files, assessment answers, classmates’ submissions, private discussion content, or instructor recordings outside the authorized audience. You may describe your own learning, show work you own, and report concerns or seek advice as allowed in section 7.
**Instructor.** Keep unpublished course materials, answer keys, grading rubrics, learner submissions, recorded sessions, and learner information within approved teaching systems. Record, livestream, or reuse a participant’s image, voice, work, or story only with the separate permissions required for that use. Do not upload learner data or nonpublic teaching materials to unapproved external tools. An instructor retains rights in their pre-existing materials; any license to AHH, exclusivity, compensation, or work ownership must be governed by a separate written instructor agreement.
**Employer representative and organization.** Access candidate information only after organization and representative verification and only to evaluate genuine opportunities. Limit access to approved hiring personnel. Do not download or share resumes, contact information, assessment results, or interview materials outside the authorized hiring process; do not contact a candidate through information obtained through the Platform except as the candidate authorizes. Follow retention and deletion instructions for declined or completed applications. No candidate information is released merely by signing this Agreement; the candidate’s separate, specific permission is still required. The representative confirms authority to bind the named organization if signing for it.
A person who has more than one role must separately accept the applicable version for each role.
## 5. Ownership and permitted uses
Each party keeps ownership of its existing intellectual property and personal information. This Agreement grants only the limited access needed for an authorized role and does not transfer a license to reuse course content, brand marks, third-party materials, or another participant’s work. Public material and independently created work remain usable as otherwise permitted by law and applicable licenses.
## 6. Duration and end of access
This Agreement begins when the signer affirmatively signs it and continues during Platform participation. Confidentiality obligations continue for **three years** after access ends; trade secrets remain protected for as long as they qualify as trade secrets under applicable law. Duties concerning personal information, legal preservation, and deletion continue as required by applicable law and the published privacy terms. AHH may suspend access when a material breach is credibly identified, subject to the Platform’s review and appeal procedures. Ending access does not revoke legal reporting rights.
## 7. Protected disclosures and rights
Nothing here prevents the signer from reporting suspected unlawful conduct to government authorities, cooperating with an investigation, responding to legal process, consulting an attorney, making a disclosure protected by whistleblower law, or exercising rights that cannot legally be waived. This Agreement does not prohibit discussion of wages or working conditions where protected by law. If disclosure is legally compelled, the signer may notify AHH when lawful and reasonably practicable, but no notice is required where prohibited or where it would interfere with a protected report.
**U.S. trade secret immunity notice:** Under 18 U.S.C. § 1833(b), an individual is not liable under federal or state trade secret law for disclosing a trade secret in confidence to a federal, state, or local government official, directly or indirectly, or to an attorney, solely to report or investigate a suspected violation of law; or in a complaint or other document filed under seal in a lawsuit or other proceeding. An individual who files a retaliation lawsuit for reporting a suspected violation may disclose the trade secret to their attorney and use it in the proceeding if any document containing the trade secret is filed under seal and the individual does not disclose it except under court order.
## 8. Relationship to other terms
This Agreement does not replace the Privacy Notice, Terms of Service, course purchase terms, instructor contract, employer service agreement, or any separately required consent to share a Hero profile, record a session, use a story, or contact a candidate. If a privacy rule imposes stronger protection, follow the stronger rule. No nondisclosure promise can authorize collecting classified material or unauthorized third-party confidential information.
## 9. Electronic signing and record
By selecting the unchecked “I agree and sign” control and entering their full legal name, the signer intends to sign this role-specific Agreement electronically. Before signing, the full Agreement must be accessible for reading, printing, and downloading. The server must store the authenticated account ID, role, verified identity or organization ID where applicable, typed name, agreement version, exact immutable agreement text or cryptographic hash and preserved copy, UTC signing time, acceptance event, and applicable security metadata. Provide the signer a copy and a way to retrieve it. Reject unsigned, stale-version, unauthenticated, or unauthorized submissions. AHH must countersign only if counsel determines a counter-signature is required.
## 10. Governing law and dispute terms
**Counsel to complete before release:** contracting entity, notices, governing state law, court venue, severability, and dispute procedure. Do not activate collection while these fields remain unresolved. No automatic arbitration, class waiver, noncompete, or restriction on protected reports is included in this draft.
---
**Activation rule:** The website can display this draft for review now. Signature collection and protected access stay disabled until counsel approval, identity and secure data storage, server-side acceptance validation, and role-based access checks are operational. The signer’s acceptance of one role never substitutes for a candidate’s sharing consent or a participant’s recording consent.
